Terms of Service

The terms for using Acqufio during its invite-only pilot. They are short on purpose, and they describe the service as it runs today.

The agreement

These terms govern use of acqufio.com and the Acqufio software (the “Service”). Creating an account, accepting an invitation, or connecting a mailbox means agreeing to them. Someone using the Service on behalf of a brokerage or a business confirms they may bind it to these terms.

The Privacy Policy describes what the Service collects and who can see it, and is part of these terms.

Early access

The Service is in an invite-only pilot. It is offered free of charge during the pilot, it may change or be withdrawn, and it carries no uptime or support commitment. Any future fee will be agreed in writing before it applies; nothing is charged by default.

Accounts and roles

Accounts are created by invitation. Each person on a deal holds a role (broker, seller, buyer, advisor, or observer) and the Service shows each role only what that role is meant to see. Keep sign-in credentials private; activity under an account is the account holder’s responsibility.

A shared report link works as a credential: anyone holding it can read that report. Share it only with the people it is meant for, and revoke it in the Service if it goes further.

Connecting a mailbox

A seller who connects a mailbox confirms that:

  • they are authorized to grant read-only access to that mailbox for the purpose of preparing the business for a change of ownership;
  • they will approve a scan only over a date window they are comfortable having read.

Access can be revoked at any time, inside the Service or in the mailbox provider’s account settings. What the Service reads, keeps, and discards is set out in the Privacy Policy.

What the report is, and is not

The Business Handoff Report is operational information to support a transition: which accounts, vendors, and services a business appears to depend on, who appears to control them, and what has to happen before closing. Each finding carries a label saying how it was established, from AI inferred to vendor confirmed.

It is not legal, tax, financial, or accounting advice, and it is not a valuation. Discovery works from the evidence it is given, so the report cannot guarantee that every dependency has been found or that every vendor procedure is current. Brokers, sellers, and buyers remain responsible for their own due diligence and for the decisions they make with the report.

Acceptable use

Do not use the Service to:

  • connect a mailbox, or invite a person, without the authority to do so;
  • break the law, or infringe anyone’s rights;
  • probe, disrupt, or work around the Service’s access controls, or reach data belonging to a deal you are not on;
  • copy or resell the Service or its vendor knowledge base.

Access that breaks these rules may be suspended without notice.

Your data

Deal data belongs to the people who provided it. Acqufio uses it only to provide the Service to the participants of that deal, as the Privacy Policy describes. General vendor knowledge (how a type of account is transferred, for example) is kept separate from any deal and contains no deal-specific information.

A deal owner can ask for a deal and its data to be deleted by writing to info@acqufio.com.

Warranties and liability

The Service is provided “as is” and “as available”, without warranties of any kind, to the extent the law allows.

To the extent the law allows, Acqufio is not liable for indirect, incidental, special, or consequential losses, or for lost profits, revenue, or data, and its total liability for any claim relating to the Service is limited to the greater of the fees paid for the Service in the twelve months before the claim and one hundred US dollars.

Ending use

Anyone may stop using the Service at any time and ask for their deal data to be deleted. Acqufio may end the pilot, or an account’s access, with notice where practical.

Changes and governing law

These terms may be updated; the date at the top of the page is the date of the last change, and continued use after a change means accepting it.

These terms are governed by the laws of the Commonwealth of Massachusetts, and disputes will be heard in the state or federal courts located in Massachusetts.
